1. What Chllgly is

Chllgly is a hosted skill-based contest platform. Brands, schools, creators, and Chllgly itself post challenges with rules and prizes. Players submit video proof of skill-based performance. Chllgly reviews, judges where applicable, and releases prizes to verified winners.

Chllgly is not a gambling product. We do not host real-money prediction markets, peer-to-peer betting, or sportsbook activity.

2. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use Chllgly. Certain prizes or challenges may require age 18+. Where required by law, age verification is enforced before payouts.

3. Skill-based contests

Every paid-prize challenge on Chllgly is a contest of skill, not chance. Every challenge has objective rules, verification criteria, and a clearly defined winner method (most votes, fastest time, first to complete, best judged, top N judged, quota-based, or creator-picks-with-admin-confirmation).

We don't host sweepstakes, random-winner cash drawings, or pay-to-enter contests unless explicitly structured to comply with applicable state and federal law.

4. Submissions

You retain ownership of your submissions. By submitting, you grant Chllgly a limited license to host, display, and feature your submission on the platform. You confirm your submission is original and complies with the rules of the challenge.

Submissions are subject to moderator review before becoming public. Submissions that violate rules, are unsafe, illegal, sexual, or hateful will be rejected, disqualified, or removed.

5. Prizes & payouts

Real-money prizes are funded by the challenge sponsor before the challenge goes live. Chllgly holds funds in escrow until a verified winner is declared and an admin approves payout. Tax reporting is the recipient's responsibility; Chllgly may issue 1099-MISC or equivalent forms above legal thresholds.

All payments and payouts are processed by Stripe, Inc. and Stripe Connect. Stripe is the money-transmission and card-processing service; Chllgly is not a bank, money-services business, or a licensed money transmitter. By posting a prize or receiving a payout you also agree to the Stripe Services Agreement and Stripe's Connected Account Agreement.

6. Prohibited conduct

• No real-money wagering or betting on outcomes.
• No illegal, dangerous, sexual, or hateful content.
• No impersonation, fraud, multi-accounting, or vote manipulation.
• No automated scraping or abuse of the API.

7. Account suspension & termination

Chllgly may suspend or ban accounts that violate these Terms. Suspended accounts lose access until reviewed; banned accounts are permanent. Pending prize amounts may be forfeited.

8. No warranty

Chllgly is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We don't guarantee uptime, accuracy of judging, moderation outcomes, or any particular result from your use of the platform.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Chllgly, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the platform.

Our aggregate liability to you for all claims arising out of or relating to these Terms or the platform is limited to the greater of (a) the total amount you paid Chllgly in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Chllgly and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the platform; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) any content you post, submit, or transmit through the platform; or (e) any claim that your content caused damage to a third party.

11. Governing law & dispute resolution

These Terms and any dispute arising out of or relating to them or the platform are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. You and Chllgly agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. You waive any objection to venue in those courts.

Class-action waiver. You and Chllgly agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class or representative proceeding.

12. Data, deletion, and privacy

Our Privacy Policy explains what we collect and how we use it. You can delete your account from Settings → Delete my account; deletion is immediate. Personal data associated with a deleted account is removed from active systems within thirty (30) days except where retention is required by law (for example, transaction records Stripe or tax authorities require us to keep) or to enforce our Terms, resolve disputes, or prevent fraud.

13. Changes

We may update these Terms. Material changes will be announced in-app or by email. Your continued use of the platform after a change constitutes acceptance of the updated Terms.
